These Terms of Use (these "Terms" or this "Agreement") govern your access to and use of the Cilantro Wallet software and related services.
Company Description
Cilantro is a blockchain development company focused on creating self-custody wallet solutions. We provide software and services related to digital asset management.
Services Provided
Cilantro Wallet is a software application that enables users to:
Store Digital Assets locally on their own devices.
Connect to decentralized applications (Dapps).
Swap assets peer-to-peer, potentially through third-party providers.
View digital asset network information and broadcast transactions.
Use other functionality that may be added.
"Digital Assets" refers to the specific tokens, cryptocurrencies, and other blockchain-based digital assets that the Wallet supports.
Terms of Use Agreement
These Terms constitute a legally binding agreement between you and you and Cilantro.
Agreement to Terms; Privacy Policy
By using Cilantro Wallet, you agree to these Terms of Use and consent to the collection, use, and handling of your information as described in our Privacy Policy, which is incorporated into these Terms.
Changes to Terms or Services; Third-Party Services
We may modify these Terms at any time. We will notify you of changes, and your continued use of Cilantro Wallet constitutes acceptance of the updated Terms. We may also change or discontinue all or part of Cilantro Wallet at any time without notice. Your use of Cilantro Wallet may involve third-party services, which are subject to their own terms, privacy policies, and fees.
Who May Use the Services
Eligibility: You must be of the age of majority in your jurisdiction to use Cilantro Wallet and not be barred from doing so under applicable law.
You represent and warrant that you have the legal capacity to enter into contracts and are not subject to sanctions or designated on any prohibited parties lists.
Registration and Your Information; Suspension/Termination of Functionality; Security
You may be required to create an account to use Cilantro Wallet. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
We may suspend or terminate your account if you provide inaccurate information or violate these Terms.
You are solely responsible for the retention and security of your Recovery Phrase, which is required to access Digital Assets stored in your Wallet. We are not responsible for the security or loss of Recovery Phrases.
Feedback
You grant us a license to use any feedback you provide to improve Cilantro Wallet.
Content Ownership, Responsibility, and Removal
"Content" includes all materials available through Cilantro Wallet. "User Content" is content that you upload or make available.
We do not claim ownership of User Content.
We and our licensors own all rights to Cilantro Wallet and its Content, which are protected by intellectual property laws.
Rights in User Content Granted by You
You grant us a license to use your User Content, subject to our Privacy Policy. You represent that you have the right to submit your User Content and that it does not infringe on the rights of others. We are not responsible for the removal or deletion of User Content.
Rights in App and Functionality Granted by Cilantro
We grant you a limited, non-transferable, revocable right to use Cilantro Wallet in accordance with these Terms. You agree not to misuse Cilantro Wallet, including by modifying, reverse engineering, scraping, or reselling it.
Acceptable Use and Enforcement Rights
You agree not to use Cilantro Wallet in ways that violate the rights of others, are illegal, or interfere with the functionality of Cilantro Wallet. Prohibited activities include violating laws, sending spam, circumventing security measures, and engaging in fraudulent activity. You represent that any Digital Assets you transfer are legally obtained and that you will comply with all applicable laws and pay all applicable fees. We have the right to remove User Content at any time and have no obligation to monitor it.
Fees
Users may be charged fees for accessing certain Functionality, including token swap fees. Fees may change without notice. Users may also incur charges from third parties for use of Third-Party Functionality. We are not liable for inaccurate fee estimates or losses resulting from inaccurate estimates of digital asset prices or swap rates.
Arrangements with Third Parties
We may have arrangements with third parties, who may share fees with us. We may also receive fees from other platforms for transactions executed through the Wallet.
Third Party Functionality
Cilantro Wallet may contain links to or utilize third-party functionality, such as Dapps. We are not responsible for third-party functionality and do not warrant or endorse it. You are solely responsible for your dealings with third parties when using Cilantro Wallet.
Termination
We may terminate this Agreement and/or your access to Cilantro Wallet at any time without notice. You may cancel your access by ceasing all use of Cilantro Wallet. Upon termination, your rights and licenses cease, but certain provisions, such as those relating to content ownership, disclaimers, and liability, survive.
Warranty Disclaimers
Cilantro Wallet is provided "as is" and "as available" without any warranties. We disclaim all warranties, including those related to title, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Cilantro Wallet will be continuous, uninterrupted, timely, or error-free. You are responsible for backing up your private access keys. We are not liable for the failure of messages or diminution in value of digital assets.
No Professional Advice or Fiduciary Duties
Information provided through Cilantro Wallet does not constitute professional advice. You should seek independent professional advice before making any financial, legal, or trading decisions. These Terms do not create any fiduciary duties on us. We do not provide investment advice or recommendations. You are responsible for your own trading decisions.
Indemnity
You agree to indemnify and hold us harmless from any claims arising from your use of Cilantro Wallet, your User Content, your use of third-party functionality, or your violation of these Terms.
Limitation of Liability
We are not liable for any lost profits or any special, incidental, indirect, or consequential damages, even if advised of the possibility of such damages. We are not liable for damages arising from third-party software, products, or services accessed through Cilantro Wallet. Our total liability to you shall not exceed $100.
Acknowledgment of Certain Risks; Other Disclaimers; Release of Claims
By accessing and using the Functionality, you acknowledge that you are trading peer to peer and that Cilantro is not acting as an intermediary on your behalf, or providing a regulated service, and you are not a customer of Cilantro. You also acknowledge that Cilantro does not provide investment advice or recommendations, and you represent that you understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of Digital Assets. You further understand that the markets for these Digital Assets are highly volatile due to factors including (but not limited to) adoption, speculation, technology, security, and regulation. You acknowledge and accept that the cost and speed of transacting with cryptographic and blockchain-based systems such as Solana are variable and may increase dramatically at any time. You further acknowledge and accept the risk that your Digital Assets may lose some or all of their value while they are held in your Wallet.
General Terms
These Terms, including our Privacy Policy, form the complete agreement between Cilantro and you regarding your use of Cilantro Wallet. These Terms replace any prior agreements, whether written or spoken. If any part of these Terms is found to be invalid or unenforceable, the rest of the Terms will still apply. You cannot assign or transfer your rights under these Terms without our written consent. We may assign or transfer our rights. These Terms apply to and benefit both us and any permitted parties who take over our rights.
We will provide notices, including changes to these Terms, by posting them on our website and/or through other electronic communication. You consent to receive all communications from us electronically.
If we don't enforce any of our rights under these Terms, that doesn't mean we've given up those rights. Any waiver of our rights must be in writing and signed by an authorized representative of Cilantro. Our exercise of any remedies under these Terms does not prevent us from using other remedies.
These Terms are written in English (U.S.). Any translated version is provided for your convenience only. The English version of these Terms is the official version and will be used if there are any conflicts with a translation.
